Terms of Sale

These Terms of Sale (“Terms of Sale”), together with any additional terms which may separately be applicable between Golden Steer, LLC (“Golden Steer”, “us”, or “we”) and any purchaser of products (“Buyer”, “you”, or “your”) from the https://goldensteer.com/collections/shop-all website (the “Shop Site”), govern the purchase and sale of all products offered by Golden Steer from time to time on the Shop Site (the “Products”). Defined terms used herein and not otherwise defined have the meanings set forth in the Terms of Service.

PRICES AND PRODUCT INFORMATION 

Unless otherwise provided by Golden Steer in writing, all prices stated are in U.S. dollars. Prices are subject to change without notice. Golden Steer is not responsible for typos or errors in pricing, and Golden Steer’s sole obligation in the event of an error in a posted price for a Product will be to promptly correct the error when identified and promptly advise the Buyer of the issue, along with the correct price for the Product. Golden Steer reserves the right to change Product ingredients, recipes, specifications, packaging, or any of the descriptions and/or information provided relating to any Product in its sole discretion, at any time. The Products displayed through the Shop Site can be ordered and delivered only within the United States and prices are exclusive of taxes and delivery charges.

PAYMENT AND PAYMENT METHOD 

If you choose to purchase Products, you will be required to provide a current, valid, accepted method of payment (“Payment Method”). You may choose to have your Payment Method saved for subsequent checkouts. If you choose, at your sole discretion, to purchase Products from us, you agree that, with your authorization, we may charge your credit card, or other chosen Payment Method, and you understand that all payments must be in U.S. dollars. Golden Steer uses authorized third parties for the purpose of processing your transactions, credit card authorization, order fulfillment, and shipping. By submitting Payment Method details to us or our third-party processors, you grant (or otherwise authorize) Golden Steer the right to store and process your information with such third parties in accordance with our Privacy Policy.
 
Golden Steer will not be obligated to sell Products to any individual consumer in any instance, and we may reject or refuse to accept any Order, or revoke its acceptance of any Order, for any Buyer, at any time, at its discretion, for any or no reason.

DISCOUNTS AND PROMOTIONAL OFFERS 

We may, in our sole discretion, create discounts and promotional codes that may be redeemed for promotional value in the form of a discount or coupon related to a purchase, subject to any additional terms that we establish on a per promotional code basis (“Promo Codes”). Promo Codes may only be used once per person. Only Promote Codes sent to you through official Golden Steer communications channels are valid (including Promo Codes posted to our Services or automatically applied at checkout). You agree that Promo Codes: (i) must be used for the intended audience and purpose, and in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public forum or otherwise), unless expressly permitted by us; (iii) may be disabled by us at any time for any reason without liability to us; (iv) may only be used pursuant to the specific terms that we establish for such Promo Codes; (v) have no monetary value and are not redeemable for cash or any cash equivalent; and (vi) may expire prior to your use.

SHIPPING 

Orders are processed pending Product availability and payment approval. During high volume periods, Product availability may be subject to change while your order is being processed. Title and risk of loss to Products shall pass to Buyer when Products are delivered to Buyer and Golden Steer is not responsible for any damage or loss to a Product, or for any Product defect or condition, that occurs after delivery, for any reason. This includes, without limitation, Buyer’s failure to properly store, refrigerate, secure, use or otherwise handle the Products by the “Best By” date and otherwise in accordance with the Product instructions, at any time after delivery.

SUBSCRIPTIONS 

You may subscribe to receive regular deliveries of our Products on a monthly, quarterly, or semi-yearly cadence by subscribing to receive regular deliveries of particular Products. Additional details about our subscription program are available at https://goldensteer.com/pages/subscriptions. You may cancel your subscription at any time through your account. Subscriptions automatically renew.

PERSONAL USE 

All Products sold by or received from Golden Steer are intended to be used for personal purposes only, and you may not sell or resell any products you purchase or otherwise receive from Golden Steer without prior approval through a Golden Steer wholesale agreement. 

WARRANTIES AND LIMITATION OF LIABILITY 

In additional to the disclaimer of warranties set forth in the Terms of Service, GOLDEN STEER MAKES NO WARRANTY WHATSOEVER, EXPRESS OR IMPLIED, REGARDING ANY PRODUCTS, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, SUITABILITY FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. If any court having jurisdiction finally holds that this limitation of remedies is void or unenforceable, Golden Steer’s liability for any claim shall be limited to the amounts paid by Buyer for the Products giving rise to the claim. In addition, in no event will Golden Steer or its affiliates be liable to Buyer, or any other party for incidental, consequential, indirect or special damages irrespective of the nature of any claim asserted, and even if Golden Steer has been advised of the possibility of such damages and even if such damages result from negligence or other fault. Golden Steer’s sole obligation in the event of any Product issue will be to replace the affected Product, at Golden Steer’s sole option. In no event will Golden Steer be responsible for damages in excess of the purchase price paid for the affected Products, in any instance.>
